Steven focuses on advising managers of private funds (primarily private credit, infrastructure, leveraged buyout, real estate, venture capital, and hedge funds) with respect to structuring and restructuring, formation, marketing, operation, and management activities. His practice also includes advising sponsors and key investors on various other investment arrangements including co-investment vehicles, continuation funds, carried interest structures, joint venture platforms and settlement of contentious disputes.

Steven is a native Mandarin speaker and is fluent in English, Cantonese and Japanese.

Career

Steven's clients comprise mainland Chinese investment managers, fund sponsors, venture capitalists, as well as licensed fund managers regulated in the US, various European jurisdictions, Hong Kong and Singapore.

Prior to joining Carey Olsen, Steven was an associate at a US law firm in London. Steven started his funds career with another law firm and an asset management firm based in Hong Kong.

Steven is admitted in England and Wales and is currently a Registered Foreign Lawyer with the Law Society of Hong Kong.

Steven has deep experience in advising leading investment managers in relation to fund formation, governance, regulatory compliance and fund-level financing matters of fund vehicles with a particular focus on the Asia-Pacific region (including greater China). In addition, he advises various global institutional and governmental investors with respect to their participation in flagship funds and related sponsor vehicles of global and regional asset managers.

Steven also advises clients on a broad range of matters in relation to cross-border marketing and fund raising for the management teams of private funds, including carried interest and management equity/incentives.
