Carey Olsen advises NorthStrive Acquisition Corp I. on US$100 million Nasdaq SPAC IPO
Carey Olsen's corporate team in the Cayman Islands has advised NorthStrive Acquisition Corp I., a special purpose acquisition company ("SPAC"), on its initial public offering ("IPO") on the Nasdaq Stock Market LLC ("Nasdaq").
On 19 August 2026, NorthStrive Acquisition Corp I. ("the Company") announced the closing of its IPO of 10,000,000 units. The offering was priced at US$10.00 per unit, resulting in gross proceeds to the Company of US$100,000,000. The Company has granted the underwriter a 45-day option to purchase up to an additional 1,500,000 units at the IPO price to cover over-allotments, if any.
The SPAC's units began trading on 19 August 2026 on Nasdaq under the ticker symbol "NSAIU". Once the securities comprising the units begin separate trading, the Class A ordinary shares, warrants, and rights are expected to be traded on Nasdaq under the symbols "NSAI", "NSAIW", and "NSAIR" respectively.
The SPAC currently intends to concentrate its search for a target business on companies engaged in the manufacturing sector serving high-growth demand markets, including, but not limited to, aerospace and defence, industrial technology, and critical supply chains.
Working alongside lead counsel Sichenzia Ross Ference Carmel LLP, the Carey Olsen team advising the Company on the Cayman Islands legal and regulatory aspects comprised partner Dylan Wiltermuth and associate Daniella Carrazana. D. Boral Capital LLC acted as sole book-running manager for the offering. DLA Piper LLP served as U.S. legal counsel to the underwriters.
