Michelle is a partner in the corporate and finance team of Carey Olsen in Bermuda and advises on all aspects of commercial and corporate law, with a particular focus on the insurance and asset management sectors. She brings a unique blend of expertise across both regulated insurance and investment funds, enabling her to provide holistic advice to clients operating in Bermuda’s financial services industry.

Michelle has considerable experience advising on public and private mergers, acquisitions and joint ventures, reinsurance transactions, regulatory matters, corporate governance issues, debt and equity capital markets transactions, and complex corporate restructurings and reorganisations. Her practice also includes advising on Bermuda Monetary Authority licensing and compliance requirements for (re)insurers, insurance intermediaries, investment managers, and investment funds.

Career

Prior to joining Carey Olsen, Michelle worked in the London office of international law firm Reed Smith LLP, in both the investment funds and private equity real estate teams.

Michelle obtained a Master of Arts (LPC with Business) from BPP University, a LLB from King's College London and a Bachelor of Arts (Hons) from the University of Waterloo.

Michelle was admitted as a solicitor in England and Wales in 2016 (currently non-practising) and was called to the Bermuda Bar in 2019. Michelle became a partner in 2024.

Advised Hamilton Insurance Group, Ltd. on the establishment of a casualty reinsurance sidecar backed by Sixth Street, structured through a new segregated cell of Ada Re, Ltd., Hamilton’s Bermuda‑based third‑party capital platform.
Advised Enstar Group on the structuring, formation and licensing of Scaur Hill Re, a new Bermuda‑licensed collateralised insurer established as a casualty sidecar to provide reinsurance capacity to the Enstar group.

Acting as lead counsel to BF&M Limited (BSX: ALSH.BH) in connection with a strategic partnership with Equilibria Asset Management Limited relating to the acquisition by BF&M of approximately 30% of the issued share capital of Argus Group Holdings Limited (BSX:AGH), a publicly traded holding company listed on the Bermuda Stock Exchange.
Advising Hamilton Insurance Group, Ltd. (NYSE: HG), an insurance group regulated by the Bermuda Monetary Authority, on its initial public offering on the New York Stock Exchange.
Advising Hamilton Insurance Group, Ltd. on its repurchase of Class A common shares funded by a loan under the Company's revolving credit facility.
Advising Paratus Energy Services Ltd. (OSL: PLSV), a holding company of a group of leading energy services companies, in connection with the acquisition by certain shareholders of all of Seadrill's ownership in Paratus, including Seadrill's 25% ownership stake and its rights under a Management Incentive Fee Deed.
Advising Paratus Energy Services Ltd. on its successful listing, as well as its later successful uplisting, on Euronext Growth Oslo following a private placement of common shares raising gross proceeds of the NOK equivalent of US$75 million.
