Carey Olsen and Carey act in Vietnam fund migration to Guernsey

The investment funds team at Carey Olsen, together with corporate, fund and private wealth specialist Carey, has advised Vietnam Holding Limited on its migration from the Cayman Islands to Guernsey as part of the fund’s progression from AIM to the Main Market of the London Stock Exchange (LSE).

In conjunction with the fund company migration, fund manager Dynam Capital, Ltd (Dynam) has also migrated to Guernsey, assisted by Carey Olsen and Carey.

Carey Olsen partner Ben Morgan led the Guernsey legal team advising the fund and was assisted by senior associate James Cooke.

"We are very pleased to have worked on this project. Carey Olsen continues to advise more LSE-listed clients than any other offshore law firm making us very well placed to assist Vietnam Holding Limited on both the migration to Guernsey and the move to the Main Market. Guernsey is particularly well placed to support the governance needs of LSE-listed entities," said Mr Morgan.

Carey acts as administrator, company secretary and sponsor to The International Stock Exchange (TISE) for the fund’s migration, Main Market listing and TISE listing and provides ongoing administration services to the fund. Carey’s head of funds services, Mark Vidamour, is also appointed as local director to Dynam.

Client director Rebecca Booth, who led the Carey team, explained the services provided: "Carey’s combined funds and corporate capabilities enabled us to manage the migration project, corporate governance requirements and provide ongoing administration and compliance solutions that support Dynam’s fund management services to Vietnam Holding Limited. Our team is delighted to have supported this important progression to the Main Market."
