Janice is a senior associate in the corporate team in Carey Olsen's Hong Kong office. She advises on a range of investment fund and corporate matters, including cross-border M&A projects, global reorganisations, and fund formation.

Janice also advises funds and other financial services providers on global regulatory requirements and reporting obligations, including but not limited to: registration/authorisation/licensing requirements, marketing restrictions, shareholding disclosure, climate-related requirements, AML issues, and other regulatory risk management (including data privacy, data storage and outsourcing issues). She has handled regulatory investigations on anti-competitive behaviour, market abuse, financial and non-financial misconduct, transaction reporting breaches, and general commercial litigation.

With her full professional proficiency in Japanese, Janice has experience reviewing Japanese legal and regulatory documents and handling business relationships with large Japanese banks, securities firms, and insurance firms.

Career

Prior to joining Carey Olsen, Janice was trained in the financial regulation group at a magic circle firm based in London in both contentious and non-contentious work, and she subsequently worked in the Funds and Investment Management team in another magic circle firm in Hong Kong after her relocation back to Hong Kong in 2022.

Janice also gained experience managing large-scale international projects while on secondment to US and UK banking clients during her time with one of the big four firms in both London and Hong Kong. She is also admitted as a solicitor in the Cayman Islands and is enrolled as a Registered Associate in the Supreme Court of Bermuda.

Acting as lead counsel to GBM Asset Management Tokyo in connection with establishing the first 'home grown’ multimanager platforms in the Japanese market. Our role including all aspects of the fund’s structuring and registration, and also obtaining the manager’s licensing application (under the Securities Investment Business Act) in the Cayman Islands, while working alongside Japanese co-counsel in relation to the Manager’s discretionary investment manager licence in Japan.
Advised Marunouchi Innovation Partners Co., Ltd., a company jointly established by Mitsubishi Corporation, MUFG Bank Ltd. and Pavilion Private Equity Co., Ltd. on the group's ongoing regulatory reporting obligations to the Cayman Islands Monetary Authority.
Advised a fund group on implications of breach notices issued by the Department for International Tax Cooperation (DITC) in the Cayman Islands and handled correspondence with the DITC.
Advised on establishment and launch of closed-end funds domiciled in the Cayman Islands and British Virgin Islands.
