Patrick is a partner in Carey Olsen’s British Virgin Islands corporate team.

His practice covers a wide range of corporate law, including mergers and acquisitions (M&A), IPO and equity capital market advice, private equity transactions, special corporate situations and joint ventures.  He has particular expertise in fintech / digital asset and crypto related structures, including advising on DeFi, token issuers and other corporate transactions involving institutions and participants in this space. Patrick also advises on a broad range of banking and finance transactions, including real estate finance, acquisition finance, fund finance, Lombard loans, and other security and unsecured finance transactions.

Career

Patrick trained and qualified with Macfarlanes in London before moving to the British Virgin Islands in 2012. In the BVI, Patrick was most recently partner and head of finance, corporate and funds at Walkers, before relocating to Walkers’ London office in 2020.

Patrick graduated with a BA (History) from Royal Holloway University of London in 2002 and completed the Post-Graduate Diploma in Law (2023) and Legal Practice Course (2024) at BPP London.   

Relevant experience

Advising on corporate matters including:

  • Channel Vas Investment Limited on its IPO;
  • the business combination between Queen’s Gambit SPAC and SWVL;
  • Uber on its acquisition of Careem;
  • advising the controlling shareholder of Luxoft (BVI NASDAQ listed company) on its merger with DXC Technology;
  • Liberty Media on BVI aspects of acquisition of Formula 1;
  • the AAR consortium on matters relating to the TNK-BP BVI incorporated joint venture and the subsequent sale to Rosneft;
  • DSV on the take private acquisition of BVI incorporated UTi Worldwide Inc.

Advising numerous fintech groups, from start-ups to well established groups, including:

  • the formation of Cayman Islands foundation companies used in conjunction with decentralised autonomous organisations (DAOs) and decentralised projects;
  • the formation of BVI companies limited by guarantee used in conjunction with DAOs, as well as BVI token issuer vehicles;
  • BVI fintech institutions and platforms on various corporate matters including equity issuances and pre-IPO restructurings.
