Steven's practice covers a broad spectrum of corporate, commercial and regulatory law with specific depth and experience in corporate governance and regulation, mergers and acquisitions (M&A), finance, securities and restructuring.

A recognised specialist in the fintech and digital asset sector, Steven worked with the Bermuda government in the introduction and development of its digital asset legal and regulatory regime, and represents a significant number of digital asset companies headquartered, or with operations, in Bermuda. He also has particular expertise in infrastructure projects and the wider technology, telecommunications and energy sectors. 

Steven regularly represents clients on a wide variety of local and cross-jurisdictional corporate and regulatory transactions and restructurings as well as public offerings (IPOs), private placements and listings on the Bermuda, New York and London stock exchanges. He also advises on complex multinational joint ventures and private equity projects.

Steven has acted as a director on the boards of US and European listed companies as well as smaller entrepreneurial private companies and has advised on all aspects of business law that affect such entities. He is as comfortable advising technology start-ups as he is with the boards of international conglomerates.

Career

Steven joined Carey Olsen Bermuda after 13 years at another international offshore law firm where he was Joint Global Head of Technology and Innovation. 

Prior to his arrival in Bermuda he worked for the London offices of international law firms Norton Rose Fulbright and Hill Dickinson LLP. 

In addition to being called to the Bar in Bermuda, Steven has been called to the Bar of New York (US Southern District) and admitted as a solicitor in England and Wales (non-practising). He is also a member of the Bermuda Bar Association, the Law Society of England and Wales and the New York Bar Association.

  • Advising Gold Reserve Ltd (TSXV: GRZ), a Toronto Stock Exchange Venture Exchange listed mining company, on its migration from Canada to Bermuda.
  • Advising on the successful admission of Heather Venture Holdings Ltd. and Tapir Holdings Ltd. to list their respective shares on the Mezzanine Market of the Bermuda Stock Exchange.
  • Advising Mountain Holdings Limited, a holding entity for Mountain Protocol Limited, on ongoing regulatory and corporate governance obligations pursuant to obtaining Class M license under the Bermuda digital asset business regime.
  • Advising Ocean Wilsons Holdings Limited in respect of a tender offer related to a repurchase of shares following its disposal of its indirect majority interest in Wilsons Sons S.A.
  • Advising OpenEden Digital Limited to obtain a Class M license under the Bermuda digital asset business regime to issue stablecoins and other digital assets representing traditional financial instruments and real-world assets. The licence obtained permitted the issuance of a yield bearing token designed to provide a stable yield to token holders by being backed by fully collateralised stablecoins.
  • Advising Paratus Energy Services Limited, a leading energy services holding company incorporated in Bermuda, on the successful private placement of US$500 million in new five-year senior secured bonds with a 9.5% coupon rate.
  • Advising Penrose Partners Ltd regarding a legal opinion on USDC airdrop, public download of self-custodial wallets and use of USDC in local vendor market as part of a conference activation in Bermuda.
  • Advising Sega Sammy Creation Inc., a wholly owned subsidiary of Sega Sammy Holdings, Inc., on its acquisition of Nasdaq-listed GAN Limited.
  • Advising HashKey Group on obtaining a digital asset business license from the Bermuda Monetary Authority under the Digital Asset Business Act.
  • Advising Soter Insure, a pioneering provider of specialised insurance solutions for the digital asset economy, on achieving full Class IIGB license approval from the Bermuda Monetary Authority.
  • Advising Tapir Holdings Ltd. (BSX: TPH.BH) on its US$87 million acquisition of shares in Rendeavour Holding Limited, an exempted company organised and existing under the laws of Bermuda.
  • Advising digital assets investment solutions group XBTO Global on its dual acquisition of Bermuda licensed digital asset businesses Stablehouse Ltd and XBTO International Ltd.
