Todd is an associate in the corporate group of Carey Olsen's Cayman Islands office. He advises on a range of corporate and corporate finance transactions, with a particular emphasis on venture capital, mergers and acquisitions and financing.

Career

Prior to joining Carey Olsen in February 2025, Todd was formerly with Davies Ward Phillips & Vineberg LLP in Toronto where he maintained a broad corporate practice, advising on mergers and acquisitions, corporate and project finance, and banking transactions.

Todd graduated with a Juris Doctor degree from Queen's University, a Master of Science – International Business from SKEMA Business School and a Bachelor of Environmental Studies (Honours) from the University of Waterloo.

Todd was called to the bar in Ontario, Canada in 2018.

Relevant experience

  • Advised clients on acquisitions and dispositions of private companies, asset deals, joint ventures and restructurings, including transactions that involve a significant structuring component to achieve specific tax or commercial objectives
  • Advised on the sale and purchase of energy and infrastructure projects across North America (gas-fired, combined heat and power, hydroelectric, wind, solar and energy storage), and negotiated a wide variety of related development contracts
  • Completed transactions for clients in a number of industries, including the private equity, venture capital, technology, mining, infrastructure and energy
  • Advised on cross-border acquisition finance, secured lending, project finance, as well as corporate and asset-based lending
  • Developed and structured integrated debt platforms for publicly-listed and private borrowers
  • Advised developers, investors, lenders and borrowers on large infrastructure and power project development and financing
