Restructuring and Insolvency

Corporate restructuring and insolvency requires advisory teams to act swiftly to protect the value of a business, investment or third party claim.

Our restructuring and insolvency lawyers apply their knowledge of insolvency, corporate and banking law, regulatory guidance and litigation to the full spectrum of cross-border restructuring, recovery and insolvency matters involving the offshore jurisdictions of Bermuda, the British Virgin Islands (BVI), Cayman Islands, Guernsey and Jersey.

We work in partnership with the world’s leading insolvency practitioners, onshore law firms, accountancy and forensic practices, advising the whole spectrum of stakeholders, including liquidators, receivers, creditors, investors, directors and professional service providers. Our institutional client base includes private equity, venture capital, banking, real estate, financial services, corporate and private trusts and investment managers.

Our leading position in the investment funds market makes us the first port of call in times of distress for lenders, fund managers and directors.

We are frequently instructed on the planning and implementation of, or response to, formal insolvency proceedings commenced in or involving our offshore jurisdictions. Our lawyers have been involved in a very significant number of the major formal insolvency proceedings in recent years in the jurisdictions in which we practice, and have played a key role in the development of the law in many key areas.

Our lawyers have a practical and deep technical understanding of the issues that can arise in restructuring situations, whether around merger, acquisition, reorganisation, workout or recapitalisation activities. We focus our advice on furthering our clients’ commercial aims; typically preserving the assets of a business or the value of an investment, and building a viable restructuring transaction, exit strategy or litigation plan.

We assist clients at the preparatory stages and advise on every aspect of the credit cycle, including cell transfer orders, schemes of arrangement, equity raisings, debt refinancing and restructuring, debt for equity swaps, work out structures and new equity injections. We also represent lenders in reviewing security packages and special service trustees of distressed portfolios.
