Carey Olsen advises Inflexion on €4.5 billion buyout fund

Carey Olsen has advised European private equity firm Inflexion Private Equity Partners LLP ("Inflexion") on the final close of Inflexion Buyout Fund VII ("Fund VII") at its hard cap of €4.5 billion, surpassing its initial €3.75 billion target after six months on the market.

Fund VII saw strong investor demand from a globally diverse institutional base, with most commitments coming from existing limited partners alongside a select number of new investors. The capital raised for Fund VII surpasses that of its predecessor, Inflexion Buyout Fund VI, which closed at £2.5 billion in 2022.

Fund VII will continue Inflexion's strategy of acquiring majority stakes in high-growth, high-margin mid-market companies, primarily headquartered in Northern Europe. It will invest in businesses valued between €250 million and more than €1 billion across its core sectors of business services, technology, financial services, healthcare, industrials, consumer, and sub-sectors where the team has deep knowledge, strong networks, and well-established value creation strategies.

The Carey Olsen Guernsey corporate team advising Inflexion comprised partners Andrew Boyce and Rachel de la Haye, senior associate Oliver Orton, associate Nicola D'Amico and trainee Tom Andrews.

Andrew Boyce commented: "We are pleased to have supported Inflexion on the final close of its latest buyout fund, which reflects the strength of the firm's investment strategy and the confidence of its growing global investor base. As a long-standing adviser to Inflexion, it was a pleasure to work alongside the firm on yet another milestone fundraise."

Richard Smith, chief financial officer at Inflexion, said: "We were delighted to once again work with the Carey Olsen team on the immensely successful launch of the Inflexion Partnership Capital Fund III. The support of Carey Olsen and our wider third-party advisor group contributed substantially to the efficiency and success of the launch and validates our choice of Guernsey as the domicile for our funds."

Carey Olsen has advised Inflexion on a number of significant fundraises, including the final closes of Inflexion Continuation Fund I at £2.3 billion, Enterprise Fund VI at £975 million, and Inflexion Partnership Capital Fund III at £1.75 billion.
