Carey Olsen advises Ocean Wilsons Holdings on the successful sanction of disputed scheme of arrangement

Carey Olsen represented Ocean Wilsons Holdings Limited (“Ocean Wilsons”) in its successful application to sanction a  scheme of arrangement, paving the way for its all‑share combination with Hansa Investment Company Limited (the “Combination”).

In a decision issued on 2 December, the Supreme Court of Bermuda accepted Ocean Wilsons’ arguments and ordered the scheme to be sanctioned, dismissing minority shareholder objections on class composition and fairness grounds.

The scheme became effective on 9 December 2025. The Combination creates a differentiated investment company of meaningful scale, listed on the London Stock Exchange, with total net assets in excess of £900 million and a diversified global portfolio spanning investment funds, direct equities and private assets.

The Carey Olsen team comprised partners Kyle Masters and Steven Rees Davies, senior associates Thomas Connor and Charlotte Donnelly, as well as associates Nathan Ische and Matthew Rhodes. Carey Olsen worked alongside instructing counsel Slaughter and May and Michael Todd, KC of Erskine Chambers.
